Securitize Corp. shares plunged 9.77%, closing at $6.74, immediately after the company revealed expanded regulatory approval in the US. This followed the registration of its subsidiary, Securitize Capital LLC, as an SEC-registered investment adviser, a status effective from July 22. Previously operating under a more limited exempt reporting adviser classification, this new registration brings the business under tighter compliance and broader oversight.

The upgrade enhances Securitize’s regulated platform for tokenized financial products, allowing deeper institutional engagement. Already running an SEC-registered broker-dealer, an Alternative Trading System, a transfer agent, and fund administration, the adviser registration adds a key capability to its onchain financial services.

With this expanded role, Securitize Capital gains the ability to offer portfolio management for tokenized investments, subjecting it to more rigorous disclosure and regulatory requirements. The move lifts previous restrictions that confined advisory activities mainly to smaller private or venture capital funds, enabling broader advisory services under the Investment Advisers Act of 1940.

Building Infrastructure for Institutional Tokenization

Securitize Markets, the company’s regulated trading platform, was recently approved by FINRA to custody tokenized securities and facilitate atomic settlement, underpinning the firm’s commitment to full tokenized securities infrastructure. Combined with related entities handling transfer agent and fund administration duties, Securitize is positioning itself to support complex institutional products such as onchain lending, tokenized vaults, and elaborate portfolio strategies.

As of July, Securitize reported managing assets exceeding $5 billion, including funds linked to major players like BlackRock, Apollo, BNY Mellon, Hamilton Lane, KKR, and VanEck. The BlackRock BUIDL fund is among the notable investors utilizing their platform.

Despite the positive regulatory developments and institutional traction, the stock’s sharp drop signals investor caution in the short term. Citi initiated coverage on SECZ with a Buy rating, acknowledging potential near-term weakness but optimism about the company’s long-term prospects in tokenized markets.
